Terms of Service

These interim Terms govern use of the AI Innovation Club member platform (app.aiinnovationclub.com), operated by Stay Strategies LLC(Las Vegas, Nevada) — the "Club." By creating an account or using the platform you agree to these Terms and to the Privacy Policy.

1. Eligibility — minimum age (18+)

You must be at least 18 years old to use the platform or register for Club activities. By using the platform you represent that you are 18 or older.

The AI Innovation Club membership platform and Club-owned applications are intended for and available only to individuals 18 years of age or older. The Club does not knowingly permit membership, account creation, class registration, or data collection from anyone under 18. Signup requires an affirmative 18+ attestation; a signup without it is blocked. If the Club learns an account belongs to someone under 18, it will disable the account and delete associated personal data in accordance with the Privacy Policy and applicable law.

2. Educational nature of contributions; no employment or wage relationship

2.1 Purpose of contribution activities

The AI Innovation Club (the "Club," an operating activity of Stay Strategies LLC) is an educational membership program. Any opportunity to submit ideas, complete practice exercises, take punch-list items, participate in build workshops, or otherwise contribute to Club or Club-owned projects (collectively, "Contribution Activities") is provided solely for the member's education, skill development, and practice. Contribution Activities are designed so that the member is the primary beneficiary of the learning experience.

2.2 Voluntary and optional

Participation in Contribution Activities is entirely voluntary and optional. Membership, membership benefits, access to classes, and standing in the Club are not conditioned on producing, completing, or shipping any work product. A member may decline any Contribution Activity with no effect on their membership.

2.3 No wage, no compensation, no employment

Contribution Activities are not employment and do not create an employment, contractor, agency, partnership, or joint-venture relationship between the member and the Club or Stay Strategies LLC. The member is not entitled to and will not receive any wage, salary, fee, or other monetary compensation for Contribution Activities. Any "contribution points," badges, leaderboard standing, or similar recognition are non-monetary, non-cash status recognition only, carry no cash value, are not redeemable for cash, and are not wages or a substitute for wages. The member does not expect, and waives any expectation of, payment for Contribution Activities.

2.4 Scope of current program (Club-owned projects only)

During the current program phase, Contribution Activities are limited to projects owned by the Club or Stay Strategies LLC (for example, the Persona application). The member will not be asked to, and points/recognition will not be offered for, work on deliverables for external or third-party clients. Any future program that involves work touching external client deliverables will be governed by separate terms and is outside the scope of this clause.

2.5 Acknowledgment

By accepting these Terms, the member acknowledges and agrees that: (i) Contribution Activities are educational and voluntary; (ii) the member is the primary intended beneficiary of the learning; (iii) no wage, compensation, or employment relationship arises from Contribution Activities; and (iv) contribution points and similar recognition have no cash value.

2.6 No waiver of non-waivable rights

Nothing in this section purports to waive any right that applicable law does not permit to be waived.

3. Contributions and intellectual property license

3.1 Definitions

"Contribution" means any code, design, text, documentation, idea, feedback, artwork, or other material a member submits, uploads, or creates in connection with any Club or Club-owned project, including through the idea board, Client Desk, build workshops, or the feedback tools.

3.2 Ownership

As between the member and Stay Strategies LLC, the member retains ownership of the original authorship in their Contribution, except to the extent an assignment is separately agreed in writing.

3.3 License grant

The member hereby grants Stay Strategies LLC and the Club a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, create derivative works of, publicly display and perform, distribute, and otherwise exploit the Contribution, in whole or in part, in any medium and for any purpose, including incorporation into commercial products and services (for example, the Persona application) and their promotion.

3.4 Moral rights / attribution

To the extent permitted by applicable law, the member waives, or agrees not to assert, any moral rights in the Contribution that would prevent Stay Strategies LLC from exercising the license in §3.3. The Club may, but is not required to, credit the member.

3.5 Member representations

The member represents that the Contribution is their original work (or they have the necessary rights to grant this license), does not infringe any third party's intellectual property or other rights, and contains no confidential information the member is not authorized to share.

3.6 Third-party and open-source components

If a Contribution includes third-party or open-source material, the member will identify it and its license so the Club can comply; the member does not grant rights they do not hold.

3.7 Client deliverables (future / conditional)

For any Contribution that is or becomes part of a deliverable for an external or third-party client, the member grants the Club the license in §3.3 for that deliverable and agrees that the Club may further license or assign it to the client as required by the client agreement. This subsection is inactive during the current Club-owned-projects-only phase (see §2.4) and takes effect only if and when the Club launches an external-client program under separate terms and counsel review.

3.8 No obligation

Nothing in this section obligates the Club to use any Contribution or to compensate the member for it; contribution recognition (points, status) is governed by §2 and carries no cash value.
